AGREEMENT BETWEEN CLIENT AND 7 FIGURE COMMERCE LLC
This Terms and Conditions Agreement (the "Agreement") constitutes a legally binding contract between 7 Figure Commerce LLC (the "Company," "we," "us," or "our") and the individual or entity (the "Client" or "you") who accesses, purchases, or utilizes our consulting services, digital products, or website resources. By engaging with 7 Figure Commerce LLC, including but not limited to accessing 7figurecommerce.com, 7figurecommerce.net, or toilynparker.com, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
This Agreement sets forth the terms governing the use of our consulting services, payment obligations, refund policies, intellectual property rights, dispute resolution mechanisms, and legal disclaimers. By entering into this Agreement, the Client agrees that failure to comply with these terms may result in immediate termination of services and legal enforcement, as necessary.
1. SCOPE OF SERVICES
7 Figure Commerce LLC provides strategic business consulting services aimed at business growth and scalability. These services include but are not limited to:
1.1 Consulting Workshops: The Client will participate in structured 90-day consulting engagements, consisting of strategy workshops, implementation guidance, and business development sessions.
1.2 Custom Business Strategy: The Company will assess the Client’s business and provide customized strategies, frameworks, and implementation roadmaps. The Client acknowledges that recommendations are advisory and require active participation and execution on their part.
1.3 Limited Relationship: Nothing in this Agreement constitutes an employer-employee relationship, joint venture, or legal partnership between the Client and 7 Figure Commerce LLC. The Client remains solely responsible for all business decisions and implementations.
1.4 No Legal, Financial, or Tax Advisory Services: The Company does not provide legal, financial, investment, or tax advice. Any actions taken based on consulting recommendations are at the sole discretion of the Client.
2. PAYMENT TERMS AND OBLIGATIONS
2.1 Payment Structure
(a) Clients may elect to pay in full ($10,000) or enroll in a three-installment payment plan ($3,500 per month for three months).
(b) Payment processing is conducted exclusively via Stripe (or another authorized third-party processor).
(c) Payments must be completed as per the agreed schedule, without offset or deduction. The Client is responsible for ensuring sufficient funds for all scheduled payments.
2.2 Failure to Pay & Account Suspension
(a) If a scheduled payment fails or remains unpaid beyond 15 calendar days, the Client’s account will be placed on financial hold, and any scheduled workshops, strategy sessions, or access to consulting materials will be suspended.
(b) To reinstate access, the Client must remit all outstanding amounts plus a mandatory rescheduling fee of $525. The Company reserves the right to waive or reduce this fee at its sole discretion based on extenuating circumstances.
2.3 Contract Termination Due to Non-Payment
(a) If the Client fails to remit payment within 30 calendar days of the due date, this Agreement shall be deemed automatically terminated.
(b) Upon termination, the Client forfeits all rights to further participation in the program, and re-enrollment will require full upfront payment at the then-current rate. Payment plan options will no longer be available.
3. REFUND POLICY AND CLIENT OBLIGATIONS
3.1 Limited Refund Policy
The Company offers a 30-day conditional guarantee on its consulting services, subject to the following terms:
(a) Refund requests must be submitted in writing to hello@toilynparker.com within 30 days of the first scheduled workshop.(b) Clients must provide documented proof of participation and implementation, which may include:
- Completed assignments, progress reports, or strategy implementation logs.
- Screenshots, reports, or tangible evidence demonstrating execution.
- Documentation proving attendance at all scheduled workshops.(c) Refunds will be denied if the Client has failed to attend workshops, refused to implement assigned strategies, or ceased participation without prior communication.
3.2 Non-Refundable Services
(a) All digital materials, templates, and proprietary frameworks provided by the Company are non-refundable once accessed.(b) The Client acknowledges that business success is contingent upon their execution and that the Company does not guarantee specific revenue or growth outcomes.(c) Refund processing time is 30 business days, and refunds will be issued to the original payment method.
4. INTELLECTUAL PROPERTY RIGHTS AND USAGE RESTRICTIONS
4.1 Ownership of Materials
All consulting materials, business frameworks, strategies, and proprietary content provided by 7 Figure Commerce LLC remain the exclusive intellectual property of the Company.
4.2 Limited License to Use
(a) Clients are granted a non-exclusive, non-transferable, revocable license to use materials solely for their own business development.(b) Clients are expressly prohibited from modifying, distributing, reselling, or otherwise using any provided materials for commercial purposes without written consent.
4.3 Enforcement of IP Rights
Any unauthorized reproduction, distribution, or misuse of Company intellectual property shall constitute grounds for immediate legal action.
5. DISCLAIMERS AND LIMITATION OF LIABILITY
5.1 No Guarantees or Warranties
The Client understands that success in business depends on numerous factors, including market conditions, business model, and personal execution. The Company expressly disclaims all warranties, including but not limited to implied warranties of fitness for a particular purpose or merchantability.
5.2 Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:(a) Any direct, indirect, incidental, consequential, or special damages resulting from the Client’s use of the services.(b) Loss of profits, business opportunities, data, or revenue.(c) Any reliance on recommendations provided during consulting sessions.
6. DISPUTE RESOLUTION AND ARBITRATION
6.1 Mandatory Arbitration Agreement
(a) Any dispute, controversy, or claim arising under this Agreement shall be resolved through binding arbitration in the State of Washington, pursuant to the rules of the American Arbitration Association (AAA).(b) Arbitration shall be conducted by a single arbitrator, and each party shall be responsible for their own legal costs.
6.2 Class Action Waiver
Clients expressly waive their right to participate in any class action lawsuit or representative proceeding against the Company.

This Agreement constitutes the entire understanding between the parties. No modifications shall be enforceable unless made in writing and signed by an authorized representative of the Company.
